Due diligence is to analyse the company in terms of its commercial, financial, legal and tax condition. The study aims to assess in detail the current situation of the company and to identify the existing and potential risks associated with the planned capital transaction (e.g.
the separation or sale of an organised part of the enterprise). Due diligence is usually the final stage of the pre-trade phase followed by the negotiation phase.
In the course of due diligence, comprehensive information on the company necessary for the valuation of its value shall be collected and the factors affecting it shall be identified. The due diligence is usually carried out by auditors, tax advisers, lawyers.
The process of conducting the survey is most often based on the analysis of the existing records of the economic operator.
